Terms of Service

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you and Alornix Technologies ("Alornix", "we", "us", "our") governing your use of the Ordello platform, websites, and related services (collectively, the "Service"). By creating an account or using Ordello, you agree to these Terms and to our Privacy Policy.

If you are accepting these Terms on behalf of a business, you confirm you have authority to bind that business. "You" in these Terms means both you personally and that business.

2. The service

Ordello is a Software-as-a-Service order-management platform that helps you:

• Manage orders, customers, products, stock and purchases.
• Share branded order-tracking pages ("Magic Links") with your customers.
• Send automated WhatsApp and email notifications.
• Accept online payments through your own Razorpay account.
• Generate PDF receipts and reports.

We may add, change, or remove features. We'll communicate material changes in advance.

3. Your account

• You must be at least 18 years old and capable of forming a binding contract.
• Provide accurate, current, and complete information when signing up.
• Keep your password secure. You are responsible for all activity under your account.
• Notify us immediately at support@ordello.in if you suspect unauthorised access.
• You may add staff accounts up to the limit in your plan. You are responsible for the actions of all users you invite.

4. Acceptable use

You agree not to:

• Use Ordello for any illegal activity, fraud, or to sell prohibited goods or services.
• Upload malware, viruses, or any code intended to disrupt or compromise the service.
• Attempt to reverse-engineer, decompile, or gain unauthorised access to any part of the platform.
• Use the service to send spam, harass anyone, or violate the privacy of others.
• Resell, sublicense, or white-label Ordello without our prior written consent.
• Use automated scrapers, bots, or excessive API requests that degrade service for others.
• Send WhatsApp or email messages to customers who have not consented or have opted out.

We may suspend or terminate accounts that violate these rules.

5. Your content & customer data

You own all data you put into Ordello — your customer list, products, orders, logos, brand colors and so on ("Customer Data"). You grant Alornix a limited, non-exclusive licence to host, process, and display that data solely to provide the Service to you.

You are responsible for:

• Ensuring you have the right to collect and store your customers' information.
• Complying with applicable data-protection laws (e.g. India's DPDP Act, 2023).
• Honouring opt-out requests from your customers for WhatsApp/email notifications.
• Accuracy of order details, prices, taxes, and shipping information you set.

6. Subscription & billing

• Plan prices, limits, and features are listed at ordello.in/pricing.
• Subscriptions are billed monthly or yearly, in advance, through Razorpay.
• Prices are exclusive of applicable GST, which will be added at checkout.
• By subscribing, you authorise Razorpay to charge the recurring amount on your chosen payment method until you cancel.
• Upgrades take effect immediately and are pro-rated.
• Downgrades take effect at the next billing cycle.
• If a payment fails, we'll retry and notify you. After repeated failures, your account may be downgraded to Free Trial or suspended.
• Cancellations stop future billing but do not refund the current billing period (see Refund Policy).

7. Free trial

New accounts can use Ordello free for 14 days. We do not require a credit card to start. When the trial ends, you can pick a paid plan or your workspace will pause. Paused workspaces retain your data for at least 30 days; you can reactivate any time by subscribing.

8. Payments & Razorpay (BYOK)

Ordello uses a Bring Your Own Keys model for payments from your customers. You connect your own Razorpay account. Funds your customers pay go directly to your bank account, through Razorpay. Alornix does not handle, hold, or have custody of your customers' payments.

You are solely responsible for your relationship with Razorpay, including KYC, settlement, and any disputes or chargebacks. Razorpay's terms and fees apply directly between you and Razorpay.

9. Third-party services

Ordello integrates with third-party services (Razorpay, WhatsApp Business API providers, email-delivery providers, cloud infrastructure). Your use of those services is subject to their own terms. We are not responsible for downtime, errors or actions of these third parties, but we will use commercially reasonable efforts to integrate with reliable providers.

10. Intellectual property

Ordello, its software, branding, designs and content are owned by Alornix Technologies and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Service while your subscription is active. You may not copy, modify, distribute, or create derivative works of the Ordello software.

If you provide feedback or suggestions, you grant us a perpetual, royalty-free licence to use it without restriction.

11. Service availability

We aim for high availability but do not guarantee uninterrupted service. Planned maintenance will be announced in advance where possible. Emergency maintenance may happen without notice. We are not liable for downtime caused by factors outside our control (network outages, third-party failures, force majeure).

12. Disclaimer of warranties

The Service is provided "as is" and "as available". To the maximum extent permitted by law, Alornix disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free or meet any specific business outcome.

13. Limitation of liability

To the maximum extent permitted by law:

• Alornix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill.
• Our total aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the fees you paid to us in the three (3) months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot be excluded under applicable law (such as for fraud or gross negligence).

14. Indemnity

You agree to indemnify and hold harmless Alornix Technologies, its affiliates, officers and employees from any claims, damages, losses or expenses (including reasonable legal fees) arising out of: (a) your breach of these Terms, (b) your misuse of the Service, (c) your Customer Data or the products/services you sell to your customers, or (d) your violation of any law or third-party right.

15. Termination

• By you: You may cancel your subscription any time from inside the app. Cancellation stops future billing.
• By us: We may suspend or terminate your account immediately if you breach these Terms, if you fail to pay, or if we are required to do so by law.
• On termination, your right to use the Service ends. We will retain your data per our Privacy Policy.
• Sections that by their nature should survive termination (IP, liability, indemnity, governing law) will survive.

16. Governing law & disputes

These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts at Kochi, Kerala, India. Before initiating any legal action, you agree to first contact us in good faith at support@ordello.in to attempt resolution.

17. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email or via a notice inside the app at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
